优德煤业注销大股东IPO股份争议提请仲裁

澳大利亚优德煤业（ASX：UND）与澳交所合规监管部门就1亿份IPO股份注销事宜执行办法争执不下，ASX上诉仲裁委员会将于11月24日举行听证会，审理该案。

ACB News《澳华财经在线》报道，优德煤业22日公告，澳交所合规部门ASX Compliance Pty Ltd就其提出的上诉意见作出回应，双方争议焦点落在1亿份IPO新股注销的实行方式上。

本月14日优德煤业发布公告披露，澳交所就其选择性股票回购交易施加多项限制，并对公司挂牌资格提出质疑。然而公司对大部分决议持有异议，认为“不正确”或“不合理”，已诉请仲裁（报道链接：澳交所关注回购计划优德煤业或需再上市）。

澳交所近日作出回复，如果优德煤业不取消回购计划，就需要面向全体股东展开股票回购，而非仅仅注销大股东坤乾国际IPO期间所认购1亿份股份。

ASX强调优德煤业回购计划须征求股东大会同意，表决过程应将涉及股份注销的坤乾国际排除在外，同时应请独立专家就回购举措出具报告，否则最终将以违反上市条例为由，提请ASX国家委员会考虑将优德煤业从澳市摘牌。

优德煤业于今年2月上市，公司在昆士兰州博恩盆地中北部拥有面积广阔的勘探地，资源量的增长潜力巨大且便于集中联合开发。坤乾国际为河南能源化工集团关联企业。
